VS Bridges – Client Terms of Business
These Terms of Business (“Terms”) apply to all clients (“you”, “your”) engaging VS Bridges Ltd (“we”, “us”, “our”) to source and supply candidates for employment.
By instructing VS Bridges or accepting candidates we introduce, you agree to these Terms.
1. Who are we

We specialise in recruitment services for business support, finance, and marketing roles.

2. Client Obligations
When engaging with VS Bridges, you agree to:

Provide accurate job specifications and candidate requirements

Treat candidates professionally and fairly

Notify us promptly if you hire a candidate we introduced
3. Candidate Introduction & Fees
3.1 Any candidate introduced by VS Bridges who is hired by your organisation, whether directly or indirectly, incurs a recruitment fee.
3.2 Fees are calculated as a percentage of the candidate’s first-year gross annual salary (excluding bonuses or benefits) as agreed in writing.
3.3Unless otherwise agreed, the fee is payable within 14 days of the candidate’s start date.
Important: If a candidate is hired by your company (or any associated business) within 12 months of our introduction, the full fee remains payable.
4. Fee Protection & Refunds
4.1 If a candidate leaves voluntarily or is terminated within a specified guarantee period (usually 3 months), VS Bridges will offer a replacement candidate or partial refund, as agreed.
4.2 The guarantee is void if candidate instructions are altered, if the client does not inform us of issues promptly, or if the candidate is rehired outside of the agreed terms.
5. Exclusivity & Assignments
5.1 Engagements can be exclusive (we are your sole recruitment partner for a role) or non-exclusive (you may use other recruitment sources).
5.2 For exclusive assignments, VS Bridges will prioritise and actively manage the search.
6. Confidentiality & Data Protection
6.1 All candidate details supplied are confidential and must only be used for evaluating employment.
Candidates’ personal data must be handled in line with UK GDPR regulations.
You may not forward or share CVs with third parties without written consent from VS Bridges.
7. Liability
7.1 VS Bridges acts as a recruitment agency and cannot guarantee candidate performance, employment outcomes, or suitability.
7.2 We shall not be liable for any loss, costs, or damages arising from the introduction of a candidate beyond our recruitment fee. Nothing in these Terms excludes liability where it cannot legally be excluded.
8. Termination
8.1 Either party may terminate this agreement in writing at any time.
8.2 Termination does not affect fees due for candidates already introduced and hired under these Terms.
9. General Terms
9.1These Terms are governed by the laws of England and Wales.
9.2 Any disputes will be subject to the jurisdiction of the English courts.
9.3 If any provision is unenforceable, the remaining provisions shall remain in effect.
9.4 VS Bridges may update these Terms; continued engagement constitutes acceptance of changes.
